A department, under contract. Not a software seat.

These terms govern the working relationship between you and the studio: what you are buying, how it is counted, who signs it, and when it becomes yours. They are written to be read rather than clicked past.

In effect from

What you are actually signing.

Four points that carry the rest of the page. The clauses below are longer, and none of them contradicts these four.

  • A department, not a tool

You are engaging an external marketing department that runs on one platform. We do not sell a software seat or a subscription to an AI tool; your access to the platform is part of the service, not the product.

    Service

  • Scope stated as counts

Your tier states how many pieces and how many revision rounds each cycle carries. Anything beyond that is quoted and approved before it is made — never absorbed quietly and then paid for in delay.

    Scope

  • Your budget stays yours

Media spend stays in your own advertising account, on your own card. The studio never holds or passes through media budget, and is paid the tier fee rather than a percentage of what you spend.

    Money

  • The work becomes yours

Intellectual property in delivered work transfers to you on payment for it. What stays with us is the platform and our internal tooling — not your work.

    Ownership

The parties, and what this document covers

“The studio” is the entity named, with its address, in your signed contract, and “you” is the client named in that same contract. This page is public and the contract is specific; where they differ, the contract governs.

These terms cover everything we provide: the work produced, the platform it is run through, and the reports that reach you from it.

What the service is

We operate as an external marketing department: we plan, produce, publish and measure on your behalf, within the services your tier names. The work is organised into three rhythms, and each rhythm carries a different governance rule.

  • Scheduled production: planned work with a publish date. You approve the exact version before it goes out.
  • Managed operations: ongoing execution inside a mandate you signed once. Past the mandate is an escalation, never a judgement call.
  • Continuous response: live inbound, where the risk tier decides who approves the reply.

The platform refuses to create a workstream for a service in a rhythm the approved matrix does not allow — so what we cannot run is also what we cannot sell.

Tier, scope and revisions

Your tier defines the services included, the number of pieces per cycle, and the revision rounds each piece carries. These are numbers in the system rather than notes in an email, and the platform is what counts them.

Requests outside scope are welcome and are quoted separately, starting once you approve the quote. We do not absorb extra work unpriced, because that gets paid for out of another client’s delivery date.

Delivery dates

Delivery lands on the fixed dates stated in your contract, not on an open-ended monthly promise. A late approval moves what comes after it, and the platform records when a piece reached you and when your answer came back.

If we do not have the operating capacity to start your account on the date you want, you will hear a later date before signing rather than a promise that was never going to hold.

Approval and signature

Every deliverable is approved by a named human before it is published. An approval binds to one version and to a hash of its content, so editing the asset after approval invalidates the approval and returns the piece for review. Approving version three is not approving version four.

No path bypasses that rule: not an administrative privilege, not a “trusted client” flag, not an AI agent. The constraint lives in the database rather than in the interface, so it survives a bug in any service above it.

Your ad accounts and your spend

Advertising platform accounts remain in your name and under your ownership, and the card that funds them is yours. We run campaigns under access you grant and can withdraw at any time.

The studio does not receive media budget and does not resell spend. Our fee is the tier price, so we have no interest in your spend rising for its own sake.

Intellectual property

Intellectual property in the final delivered work transfers to you on payment for it. Before payment you hold an internal review licence only.

What stays with the studio is what was not made for you: the platform, our internal templates and tooling, and third-party licensed assets, which pass to you on their licensor’s terms rather than ours.

You confirm that you own the rights to the logos, images and text you upload to us, or that you are licensed to use them for the purpose requested.

What we need from you

  • One person with authority to approve, answering within the window your contract states.
  • Accurate, current brand material, and access to the channels you have asked us to run.
  • Notice of any regulatory obligation specific to your sector before work starts, not after it publishes.

Term, payment and termination

The subscription is paid in advance for each cycle. Termination follows the notice period in your contract and takes effect at the end of the paid cycle.

On termination you keep what was delivered, approved and paid for, and you receive an export of your data in a machine-readable format. We do not hold your work as leverage.

What we do not guarantee

We guarantee quality, dates and governance. We do not guarantee a search ranking, a number of leads, or a particular return — none of which sits fully within our control, and anyone guaranteeing them is selling you a number rather than a service.

Nor do we provide legal, medical or financial advice. Content carrying a regulated claim passes a compliance reviewer before publication, and we may decline to publish a claim that has no documented source.

Liability and indemnity

Limits of liability and indemnity are stated in your contract, which is where they belong, because they are negotiated per client. Nothing on this page should be read as waiving a right the contract does not address.

Changes, governing law and notices

We may update this page. A change does not apply retroactively to a paid cycle, and any change affecting your scope or your price goes through a written amendment to the contract.

Governing law and the forum for disputes are those stated in your contract, and formal notices go to the address stated there.

What we will not sign.

We will not guarantee a number we do not control, we will not hold your media budget, and we will not give anyone — human or model — a route to publish work no human signed. None of these are negotiable, because dropping any one of them removes the reason the service exists.
